Acceptance of Terms

By engaging BrainBidder ("we," "us," or "our") for any services, accessing our website, or submitting inquiries through our contact forms, you ("Client" or "you") agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

If you do not agree to these terms, please do not use our website or engage our services. We reserve the right to update these terms at any time, with changes becoming effective upon posting to this page.

Service Description

BrainBidder provides business-to-business (B2B) technology services exclusively within the financial technology (FinTech) sector. Our services include, but are not limited to:

  • Custom Indicator Development: Design and implementation of technical indicators, oscillators, and analytical overlays per client-supplied mathematical formulas
  • Charting API Integration: Development, customization, and deployment of interactive charting solutions using industry-standard libraries and proprietary systems
  • Data Normalization: Processing, cleaning, and standardizing financial data feeds for integration with client platforms
  • Widget Building: Creation of embeddable charting widgets, market data displays, and interactive dashboard components for web and mobile platforms
  • Platform Integration: API development, SDK integration, and system architecture consulting for FinTech platforms

B2B Services Limitation

This section is critical to understanding the scope and nature of our services:

 IMPORTANT: BrainBidder is purely a software development and technology services provider. We operate exclusively in a B2B capacity.

We expressly DO NOT provide any of the following:

  • Trading recommendations, signals, or market predictions
  • Investment advice, financial planning, or wealth management
  • Asset management or portfolio management services
  • Financial advisory services of any kind
  • Brokerage or dealer services
  • Research analysis with buy/sell/hold recommendations

All code, indicators, and software logic are written strictly to client-supplied specifications and mathematical formulas. BrainBidder does not originate, endorse, or validate any trading strategy embedded in client-specified logic.

No Custody of Funds

BrainBidder does not hold, manage, transfer, or have access to:

  • Client funds, deposits, or financial assets of any kind
  • Trading accounts or brokerage accounts
  • Payment processing for financial transactions on behalf of clients' end users
  • Escrow or custodial accounts

Our engagement with clients is limited exclusively to the development and delivery of technology solutions. Any financial transactions between our clients and their end users are entirely outside the scope of our services and responsibility.

Client Responsibilities

To ensure successful project delivery, clients agree to the following responsibilities:

  • Technical Specifications: Provide clear, detailed, and complete technical specifications for all requested features and functionality
  • Mathematical Formulas: Supply all mathematical formulas, logic definitions, and calculation methodologies for custom indicators and analytical tools
  • Timely Review: Review deliverables, prototypes, and milestones within the agreed-upon timeframes and provide constructive feedback
  • Access & Resources: Provide necessary access to APIs, systems, documentation, and resources required for project execution
  • Payment: Adhere to the agreed payment schedule as outlined in the project contract or statement of work
  • Legal Compliance: Ensure that the specifications provided comply with all applicable laws and regulations in the client's jurisdiction

Intellectual Property

Intellectual property rights are governed as follows:

  • Base Framework: BrainBidder retains all rights to its proprietary base frameworks, libraries, internal tools, and reusable components developed independently of client engagements
  • Custom Specifications: Upon full payment of all project fees, ownership of custom code, configurations, and deliverables built specifically to client specifications transfers to the client
  • Open-Source Components: Any open-source libraries or components utilized in deliverables remain subject to their respective open-source licenses (e.g., MIT, Apache 2.0, GPL)
  • Pre-Existing IP: Each party retains ownership of their respective pre-existing intellectual property

Specific IP arrangements may be customized through individual project contracts or statements of work, which will take precedence over these general terms.

Payment Terms

Payment structures are determined by the engagement model:

  • Project-Based Engagements: Payments are structured around agreed milestones. Typical structure includes an initial deposit, mid-project milestone payments, and a final payment upon delivery and acceptance
  • Dedicated Team Engagements: Billed on a monthly invoicing cycle, payable in advance for the upcoming month of service
  • Payment Terms: All invoices are due Net 15 (fifteen calendar days from invoice date) unless otherwise specified in the project contract
  • Late Payments: Invoices overdue beyond 15 days may incur a late fee as specified in the project agreement. BrainBidder reserves the right to pause work on outstanding invoices
  • Currency: All fees are quoted and payable in the currency specified in the project agreement

Confidentiality

BrainBidder recognizes the sensitive nature of our clients' business operations, especially within the financial technology sector:

  • All client specifications, formulas, business logic, technical requirements, and proprietary information shared during the engagement are treated as strictly confidential
  • Confidential information will not be disclosed to any third party without the client's prior written consent
  • Our team members with access to confidential information are bound by internal confidentiality agreements
  • A formal Non-Disclosure Agreement (NDA) is available upon request and can be executed prior to the commencement of any engagement

Confidentiality obligations survive the termination of any engagement for a period specified in the applicable NDA or project agreement.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • No Liability for Trading Losses: BrainBidder shall not be liable for any trading losses, financial losses, or investment losses resulting from the use of software, indicators, or tools developed by us. All software is built to client-supplied specifications
  • Software Provided "As-Is": After client acceptance testing and sign-off, the delivered software is provided on an "as-is" basis. BrainBidder warrants that deliverables will conform to the agreed specifications at the time of delivery
  • Maximum Liability: In no event shall BrainBidder' total aggregate liability exceed the total project fees actually paid by the client for the specific engagement giving rise to the claim
  • Indirect Damages: BrainBidder shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these terms or any engagement shall be resolved through binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be determined by mutual agreement of the parties.

Both parties agree to attempt resolution of any disputes through good-faith negotiation before initiating formal arbitration proceedings.
